Welcome to Web of Wave (“Web of Wave”, “we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the Web of Wave website, products, digital assets, consultations, proposals, and professional services.
By accessing our website, requesting a quotation, submitting an inquiry, purchasing a service, signing a proposal, or working with Web of Wave, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree with these Terms, you should discontinue using our website and services immediately.

2. Definitions#
For the purpose of these Terms:
“Company”, “We”, “Us”, or “Our” refers to Web of Wave.
“Client”, “Customer”, or “You” means any individual, business, organization, startup, agency, or legal entity that accesses our website or purchases our services.
“Services” means all services provided by Web of Wave, including but not limited to:

- Website Development
- Landing Page Development
- UI/UX Design
- E-commerce Development
- Search Engine Optimization (SEO)
- Generative Engine Optimization (GEO)
- Answer Engine Optimization (AEO)
- Digital Marketing
- Website Maintenance
- Performance Optimization
- API Integration
- CMS Development
- Website Consultation
- AI Automation Solutions
- Any custom software or digital solution specifically agreed upon in writing.
“Website” refers to https://webofwave.com and all associated web pages, portals, client areas, downloadable resources, and digital assets.
“Project” means any work agreed upon between Web of Wave and the Client through a proposal, quotation, invoice, purchase order, email confirmation, signed agreement, or any other written communication.
3. Acceptance of These Terms#
By accessing our website or engaging our services, you represent and warrant that:
- You are at least 18 years of age.
- You have the legal capacity to enter into a binding agreement.
- If acting on behalf of a company or organization, you have the authority to bind that organization to these Terms.
- All information provided to us is accurate, complete, and current.
- You will use our website and services only for lawful purposes.
Your continued use of our website or services constitutes your acceptance of these Terms and any future amendments.
4. Scope of Services#
Web of Wave provides professional digital services including, but not limited to, website design, website development, e-commerce solutions, digital marketing, maintenance services, and consulting.

The exact scope of each project shall be defined in the proposal, quotation, invoice, Statement of Work (SOW), or other written agreement shared with the Client.
5. Quotations and Proposals#
All quotations, proposals, estimates, and project timelines issued by Web of Wave are based on the information provided by the Client at the time of preparation.
Unless otherwise stated in writing:
- Quotations are valid for 30 calendar days from the date of issue.
- Prices may change if the project scope changes.
- Estimated timelines are indicative and may be revised if project requirements are modified.
- Additional features requested after approval may require a revised quotation.
- Verbal discussions do not constitute a binding agreement unless confirmed in writing.
Web of Wave reserves the right to withdraw or amend any quotation prior to formal project acceptance.
6. Project Acceptance#
A project shall be deemed accepted when any one of the following occurs:
- The Client signs a proposal or agreement.
- The Client approves the quotation by email or other written communication.
- The Client pays the advance amount.
- The Client instructs Web of Wave to commence work.
- The Client issues a purchase order.
- The Client otherwise authorizes work to begin.
Upon project acceptance, these Terms become legally applicable to the engagement unless superseded by a separate written agreement signed by both parties.
7. Communication#
Official communication between Web of Wave and the Client may occur through email, scheduled online meetings, project management platforms, or written messaging applications agreed upon by both parties.
Instructions affecting project scope, pricing, timelines, approvals, or deliverables should be provided in written form. Web of Wave may rely on such written communications when executing the project.
8. Client Responsibilities#
To enable timely and successful delivery of services, the Client agrees to:
- Provide complete and accurate project requirements.
- Supply all necessary text, images, logos, videos, branding assets, and other content required for the project.
- Ensure that all materials provided are owned by the Client or used with appropriate permission.
- Review deliverables within a reasonable period and provide timely feedback.
- Designate a primary point of contact authorized to make project decisions.
- Obtain any third-party licences, approvals, or permissions that are the Client’s responsibility.
- Make payments according to the agreed payment schedule.
- Cooperate in resolving project-related issues promptly.
Any delay in providing required information, approvals, or content may result in corresponding adjustments to the project timeline.
9. Right to Refuse Service#
Web of Wave reserves the right to refuse, suspend, or terminate services where:
- The requested work is unlawful.
- The project infringes intellectual property rights.
- The Client provides misleading or fraudulent information.
- The requested content promotes hate speech, violence, malware, phishing, scams, or illegal activities.
- The Client repeatedly engages in abusive, threatening, or inappropriate conduct toward our team.
- The engagement would expose Web of Wave to unreasonable legal, financial, or reputational risk.
Where applicable, any refund shall be governed by the Refund Policy and any signed project agreement.
10. Pricing and Payment Terms#
Unless otherwise agreed in writing, all pricing, quotations, proposals and invoices issued by Web of Wave shall be governed by the following payment terms.
Project pricing is based on the agreed project scope, technical complexity, estimated development effort, third-party integrations, timelines, and deliverables. Any services requested outside the approved scope may incur additional charges. All prices are quoted in Indian Rupees (INR) unless otherwise specified.
11. Payment Schedule#
Unless a separate written agreement specifies otherwise, the standard payment schedule shall be:
Standard Projects
- 50% Advance Payment before commencement of the project.
- 50% Final Payment before final deployment, source code handover, or project delivery.
Web of Wave is under no obligation to commence work until the advance payment has been successfully received.
Small Projects
For small-value projects, one-time payments or milestone-based payments may be agreed upon.
Enterprise Projects
Large or long-term projects may follow milestone-based billing, including but not limited to:
- Discovery Phase
- Design Approval
- Development Milestone
- Testing
- Final Deployment
Each milestone shall become payable upon completion of the corresponding deliverables.
12. Advance Payment#
The advance payment represents a commitment by both parties. The advance amount covers, among other things:
- Project planning
- Research
- Requirement analysis
- UI/UX planning
- Resource allocation
- Initial development
- Internal project management
Once project work has commenced, the advance payment is generally non-refundable, except where otherwise agreed in writing or required by applicable law.
13. Accepted Payment Methods#
Payments may be accepted through approved methods communicated by Web of Wave, including:
- Bank Transfer
- UPI
- Online Payment Gateway
- Other approved digital payment methods
The Client is responsible for any bank charges, currency conversion charges, payment gateway fees, or transaction fees unless otherwise agreed.
14. Taxes#
Unless expressly stated otherwise:
- Prices are exclusive of applicable taxes.
- GST or other applicable taxes shall be charged where legally required.
- The Client shall be responsible for paying all applicable taxes associated with the services.
Where tax laws require withholding, the Client shall provide the necessary documentation in accordance with applicable regulations.
15. Late Payments#
Invoices are payable by the due date mentioned on the invoice. Failure to make payment on time may result in one or more of the following actions:
- Suspension of ongoing work
- Delay in project delivery
- Suspension of support services
- Suspension of maintenance services
- Delay in source code delivery
- Delay in website deployment
Web of Wave reserves the right to resume work only after all outstanding payments have been received.
16. Suspension of Services#
If payment remains outstanding beyond the agreed due date, Web of Wave may suspend:
- Development work
- Design work
- Website deployment
- Technical support
- Maintenance services
- Hosting assistance
- Consultation services
The project schedule may be revised following any such suspension.
17. Scope Changes#
Any work requested outside the originally approved scope shall be treated as a Change Request. Examples include:
- Additional pages
- New modules
- New features
- API integrations not included in the original quotation
- Dashboard enhancements
- New animations
- Additional revisions beyond the agreed limit
- New content creation
- Additional SEO work
- Additional testing requirements
Such requests may require a revised quotation, revised delivery timelines, additional invoices, and additional approvals. No additional work shall commence until the revised scope has been approved.
18. Change Request Procedure#
To maintain project quality and transparency, all material changes should be submitted in writing. A Change Request may include:
- Description of the requested change
- Business justification
- Technical impact
- Estimated timeline
- Revised pricing
- Approval from the Client
Work on the requested change may begin only after written approval.
19. Project Timeline#
Project timelines provided by Web of Wave are estimates based on the information available at the time of quotation. Delivery timelines assume that the Client will provide content, branding assets, images, feedback, approvals, credentials, and required documentation within reasonable timeframes.
Project delays caused by late Client responses may result in revised delivery schedules.
20. Client Delays#
The Client acknowledges that project success depends upon timely cooperation. Examples of Client-caused delays include:
- Delayed content submission
- Delayed feedback
- Delayed approvals
- Delayed payment
- Failure to provide required access credentials
- Frequent requirement changes
- Lack of communication
Where such delays occur, Web of Wave may reasonably adjust the project schedule without liability for resulting delivery delays.
21. Review and Approval#
The Client agrees to review deliverables within a reasonable period after they are presented.
If feedback is not received within the agreed review period, Web of Wave may consider the relevant deliverable approved for the purpose of continuing the project, unless otherwise agreed in writing.
22. Revisions#
Unless expressly stated in the quotation or proposal:
- Minor revisions reasonably related to the approved scope may be included.
- Requests introducing new functionality or substantial design changes may be treated as Change Requests.
- Revisions do not include complete redesigns or changes arising from revised business requirements after approval.
The number and nature of included revisions may be specified in the project proposal or Statement of Work.
23. Project Pause#
If the Client requests that a project be paused, Web of Wave may suspend active work, reallocate internal resources, and revise delivery timelines upon project restart.
If a project remains inactive for an extended period due to Client inactivity, Web of Wave reserves the right to require a revised timeline, revised quotation, or additional payment before resuming work.
24. Project Cancellation#
Either party may request cancellation of a project by providing written notice. Cancellation shall be governed by:
- The applicable Refund Policy.
- Any signed Service Agreement.
- Work completed up to the date of cancellation.
- Outstanding invoices.
Where applicable, the Client shall pay for all work performed up to the effective cancellation date.
25. Intellectual Property Rights#
Unless otherwise expressly agreed in a signed written agreement, all intellectual property rights relating to concepts, proposals, methodologies, workflows, templates, reusable software components, internal frameworks, automation scripts, development tools, documentation, and other proprietary assets created or owned by Web of Wave shall remain the exclusive property of Web of Wave.
Nothing contained in these Terms shall be interpreted as transferring ownership of Web of Wave’s proprietary intellectual property to the Client except as expressly provided herein.
26. Ownership of Client Materials#
The Client retains ownership of all materials supplied by the Client, including but not limited to:
- Logos
- Trademarks
- Brand assets
- Images
- Videos
- Written content
- Product information
- Marketing materials
- Databases owned by the Client
- Licensed content lawfully provided by the Client
The Client represents and warrants that it owns or has obtained all necessary rights and permissions to use such materials. Web of Wave shall not be responsible for copyright infringement or other legal claims arising from materials supplied by the Client.
27. Ownership of Deliverables#
Subject to full payment of all outstanding invoices and compliance with these Terms, the Client shall receive ownership or an appropriate licence to the final project deliverables specifically identified in the applicable proposal or Statement of Work.
Ownership does not automatically include:
- Internal development tools
- Proprietary frameworks
- Reusable code libraries
- Starter templates
- Build systems
- Deployment scripts
- Internal automation tools
- Internal documentation
- Design systems reused across projects
- Generic UI components developed independently of the Client’s project
Web of Wave retains ownership of such reusable assets.
28. Source Code Ownership#
Unless otherwise agreed in writing:
- Source code shall be transferred only after full payment has been received.
- Source code shall not be delivered while any invoice remains unpaid.
- Web of Wave may retain backup copies of project files for business continuity, legal compliance, and archival purposes.
Where a project is licensed rather than assigned, ownership shall remain with Web of Wave and the Client shall receive only the licence expressly granted.
29. Git Repository#
Where Web of Wave creates or manages a Git repository (including GitHub, GitLab, Bitbucket, or similar platforms):
- Repository access may be restricted until payment obligations have been fulfilled.
- Administrative ownership may be transferred after final settlement if agreed as part of the project scope.
- Web of Wave may maintain internal repositories containing reusable components that are not transferred to the Client.
Nothing in these Terms obligates Web of Wave to disclose unrelated repositories, proprietary libraries, development history, or confidential internal tooling.
30. Design Files#
Unless expressly included in the quotation, the following working files are not automatically included:
- Figma source files
- Adobe XD files
- Sketch files
- Illustrator files
- Photoshop source files
- Motion design project files
- Raw animation assets
Delivery of editable design source files shall be governed by the project proposal or a separate written agreement.
31. Third-Party Software and Licences#
Projects may include third-party software, libraries, fonts, plugins, APIs, frameworks, or services. Such components remain subject to their respective licence agreements. Examples include:
- Open-source software
- Commercial plugins
- Google Fonts
- Icon libraries
- CMS platforms
- Payment gateways
- Analytics platforms
- Cloud hosting providers
The Client agrees to comply with all applicable third-party licence terms. Web of Wave shall not be responsible for changes made by third-party providers after project delivery.
32. Open-Source Components#
Web of Wave may use open-source software where appropriate. Ownership of open-source software remains with its respective authors and licensors.
The Client acknowledges that open-source software is governed by its applicable licence terms, which may include permissions, restrictions, attribution requirements, and disclaimers.
33. Domain Name Registration#
Unless expressly agreed otherwise:
- Domain registration shall be carried out using information provided by the Client.
- Renewal responsibility belongs to the registered owner of the domain.
- Web of Wave shall not be liable for domain expiration resulting from failure to renew.
- Domain registration fees paid to registrars are generally non-refundable.
If Web of Wave temporarily registers a domain on behalf of the Client, ownership transfer may be completed after project completion and settlement of all outstanding amounts.
34. Website Hosting#
Hosting may be Client-managed, Web of Wave managed, or third-party managed. Unless expressly included within a maintenance agreement, Web of Wave does not guarantee:
- Continuous hosting availability
- Third-party server uptime
- Network performance
- Data centre availability
- Internet connectivity
Hosting providers remain independently responsible for their own infrastructure and service levels.
35. Deployment#
Deployment may include production deployment, DNS configuration, SSL installation, server configuration, performance optimisation, and basic launch support.
The Client agrees to provide all required server credentials and access permissions in a timely manner. Project deployment may be delayed where necessary access has not been provided.
36. Portfolio Rights#
Unless otherwise agreed in writing or restricted by confidentiality obligations, Web of Wave may display completed work for legitimate promotional purposes. This may include:
- Screenshots
- Website previews
- Project descriptions
- Technology stack
- Public URLs
- Design samples
- Case studies
- Portfolio listings
- Social media showcases
Confidential business information shall not be intentionally disclosed without authorization.
37. Confidential Information#
Both parties agree to treat confidential information received during the project as confidential. Confidential information may include:
- Business strategies
- Financial information
- Login credentials
- API keys
- Source code
- Technical documentation
- Marketing plans
- Customer information
- Internal communications
Confidential information shall not be disclosed except where required by law, necessary for performance of the project, or authorised in writing by the disclosing party.
38. Client Credentials#
The Client is responsible for providing accurate and authorised access credentials, including where applicable:
- Hosting accounts
- Domain registrars
- DNS providers
- Email platforms
- Cloud infrastructure
- Payment gateways
- CMS accounts
- Third-party APIs
Web of Wave shall take reasonable care when handling such credentials but shall not be liable for losses resulting from inaccurate, expired, or compromised credentials supplied by the Client.
39. Data Backup#
Unless expressly included in a maintenance or hosting agreement:
- The Client remains responsible for maintaining backups of its website, databases, media, and business information.
- Web of Wave may create temporary working backups during development but is not obligated to retain them indefinitely after project completion.
40. Non-Solicitation#
During the term of the project and for a reasonable period thereafter, the Client agrees not to knowingly solicit for employment or direct engagement any employee or contractor of Web of Wave who has materially worked on the Client’s project, without the prior written consent of Web of Wave.
Nothing in this clause restricts general recruitment advertisements or applications made independently without targeted solicitation.
41. Warranty Disclaimer#
Web of Wave shall perform its services with reasonable skill, care, and professional diligence consistent with generally accepted industry standards.
Except as expressly stated in a separate written agreement, all services, software, websites, documentation, designs, templates, reports, and digital deliverables are provided on an “as is” and “as available” basis.
To the maximum extent permitted by applicable law, Web of Wave disclaims all express, implied, statutory, or other warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Compatibility with all browsers or devices
- Continuous availability
- Error-free operation
- Uninterrupted service
Technology evolves continuously, and compatibility with future browser versions, operating systems, APIs, third-party platforms, or external services cannot be guaranteed unless covered under an active maintenance agreement.
42. Performance Disclaimer#
Website speed, SEO rankings, GEO visibility, AEO performance, lead generation, conversion rates, revenue growth, search engine indexing, AI search visibility, or marketing results depend upon numerous factors beyond the reasonable control of Web of Wave. Accordingly, Web of Wave does not guarantee:
- First-page search engine rankings
- Specific keyword rankings
- AI search placement
- Revenue increases
- Business growth
- Lead generation volumes
- Sales performance
- Social media growth
- Advertising performance
- Third-party algorithm behaviour
Any projections, estimates, forecasts, or recommendations provided during consultation are illustrative only and do not constitute guarantees.
43. Limitation of Liability#
To the fullest extent permitted by applicable law, Web of Wave shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages, including but not limited to:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of goodwill
- Loss of anticipated savings
- Business interruption
- Data loss
- Reputation damage
- Downtime caused by third-party providers
Where liability cannot be excluded by law, the aggregate liability of Web of Wave arising out of or relating to the project shall not exceed the total professional fees actually paid by the Client for the specific project giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
44. Client Indemnity#
The Client agrees to indemnify, defend, and hold harmless Web of Wave, its proprietor, employees, contractors, consultants, and authorised representatives against claims, losses, liabilities, costs, damages, or expenses (including reasonable legal expenses) arising from:
- Materials supplied by the Client
- Copyright infringement caused by Client-provided content
- Trademark disputes relating to Client materials
- Defamatory or unlawful content supplied by the Client
- Violation of applicable laws by the Client
- Breach of these Terms by the Client
This obligation survives completion or termination of the project to the extent permitted by law.
45. Third-Party Platforms#
Projects may depend on third-party providers, including but not limited to domain registrars, hosting providers, cloud infrastructure providers, payment gateways, CDN providers, analytics platforms, social media platforms, AI service providers, email service providers, and API providers.
Web of Wave is not responsible for service outages, API changes, platform discontinuation, pricing changes, third-party security incidents, account suspensions by third parties, or changes to platform policies.
The Client acknowledges that third-party services remain governed by their respective terms and privacy policies.
46. Maintenance and Support#
Unless expressly included in a written maintenance agreement:
- Project delivery concludes upon completion of the agreed scope.
- Ongoing maintenance, updates, bug fixes, enhancements, monitoring, or support services are not included after project completion.
- Additional support may be provided under a separate maintenance plan or support agreement.
Response times, service levels, and support hours shall be governed by the applicable maintenance agreement where one exists.
47. Force Majeure#
Neither party shall be liable for any delay or failure in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, floods, fires, earthquakes, epidemics or pandemics, war, civil unrest, government restrictions, power failures, internet outages, cyberattacks affecting infrastructure, labour disputes, and failures of third-party service providers.
The affected party shall use reasonable efforts to resume performance as soon as practicable.
48. Suspension and Termination#
Web of Wave reserves the right to suspend or terminate services where:
- The Client materially breaches these Terms.
- Required payments remain outstanding.
- The Client engages in abusive, threatening, fraudulent, or unlawful conduct.
- Continued performance would expose Web of Wave to unreasonable legal or commercial risk.
Termination shall not affect accrued payment obligations or rights arising before the termination date.
49. Governing Law#
These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of India.
The parties agree that applicable Indian laws, including contractual, commercial, intellectual property, consumer protection, and information technology laws, shall govern the interpretation and enforcement of these Terms.
50. Dispute Resolution#
The parties shall first make reasonable efforts to resolve any dispute through good-faith discussions and negotiation.
If the dispute cannot be resolved amicably within a reasonable period, either party may pursue remedies available under applicable law. Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction where necessary.
51. Jurisdiction#
Subject to applicable law, the courts located in New Delhi, India, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms and the services provided by Web of Wave.
52. Notices#
Formal legal notices shall be sent to Web of Wave at webofwave@gmail.com, or to B12, New Ashok Nagar, New Delhi – 110096, India.
Electronic notices shall be deemed received when successfully transmitted, unless evidence establishes otherwise.
53. Entire Agreement#
These Terms, together with the applicable proposal, quotation, invoice, Statement of Work, Service Agreement, Privacy Policy, Refund Policy, and any other written documents expressly incorporated by reference, constitute the entire agreement between the parties concerning the relevant services.
They supersede all prior oral or written discussions relating to the same subject matter.
54. Severability#
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
55. Waiver#
Failure by Web of Wave to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available under these Terms or applicable law.
56. Amendments#
Web of Wave may revise these Terms from time to time. Updated versions will be published on the official website with a revised “Last Updated” date.
For ongoing projects, material amendments that affect contractual obligations will generally be communicated to the Client.
57. Assignment#
The Client may not assign or transfer its rights or obligations under these Terms without the prior written consent of Web of Wave.
Web of Wave may assign or subcontract portions of the services where appropriate, while remaining responsible for the overall delivery of contracted services unless otherwise agreed.
58. Electronic Communications#
The Client agrees that approvals, confirmations, instructions, invoices, quotations, and other communications exchanged electronically (including email and other agreed written digital channels) may be relied upon as evidence of the parties’ communications, subject to applicable law.

60. Acceptance#
By accessing the Web of Wave website, requesting services, accepting a quotation, making payment, or otherwise engaging with Web of Wave, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
